Amber 40 – 69

Material issue identified. Requires negotiation, pricing adjustment, warranty, escrow, management clarification or further review.

Proceed only with mitigation, negotiation or additional due diligence.

Red 0 – 39

High risk or potential deal blocker. Requires resolution before close.

Escalate to deal committee. Resolve before close or consider stopping the deal.
